Digital Marketing Agreement

Digital Marketing is the practice of using online platforms and technologies to promote products, services, or brands to a targeted audience, using strategies like SEO, social media, email marketing, and paid advertising. For example, a paid promotion campaign on Google and Facebook to show the products to an interested audience in a particular region.

The Agreement lays out the rules for methods of digital marketing, budget plans, platforms, etc. It also specifies the ethical marketing practices, promotional guidelines, and proper use of the organization's branding that service providers must adhere to. Additionally, there are safeguards in place to protect both parties' data privacy, and dispute resolution processes.

Since the service providers will have confidential resources and data of the organization, the present document already contains by-default provisions dealing with the same. However, if the parties are looking for more detailed regulations for confidentiality, it is better to have a separate Non-Disclosure Agreement (NDA) signed with the service provider.

How to use this document?

The Digital Marketing Agreement will be legally binding when it has been printed on non-judicial stamp paper or e-stamp paper, signed by both the Service Provider and the Client, and dated.

By purchasing an e-stamp paper, the stamp duty can be paid online, and the printout of the stamp paper can be taken online. The value of the stamp paper would depend on the state in which it is executed. Each state in India has provisions in respect of the amount of stamp duty payable on such agreements.

It is always better to have two independent witnesses sign the document or get it notarized by a notary public to increase the credibility of the document.

Both the Service Provider and the Client should keep a signed copy of the Digital Marketing Agreement. In order to do this, two different copies can be signed, or if only one copy is signed, it can be photocopied and then distributed between the parties.


Applicable laws

The principles of the contract under the Indian Contract Act, 1872 would govern this agreement.
